Provide legal knowledge & expertise in Energy Practice Group, including legal analysis & counseling clients on joint ventures, private equity investments, and strategic transactions for public & private cost in energy & infrastructure sector on broad range legal topics, drafting, negotiating & analyzing related legal docs, perform legal due diligence, & helping clients eval, negotiating & execute transactions & commercial contracts in energy & infrastructure industries. Develop research strategies for complex or novel issues, delegating to junior/mid-level attys; analyze complex factual & legal issues; coordinate & supervise due diligence teams for deals of all sizes. Prep, draft & supervise drafting of complex principal transaction docs & coordinate/review ancillary & closing docs. Take primary responsibility for key docs in transactions & receiving docs from reg agencies &/or clients & integrating comments into key transactions docs. Interpret advice for other discipline specialists & relay to clients. Observe & participate in negotiations w/other Firm attys, clients or reg agencies. Manage complex transactions. Identify issues req. involv or expertise of other specialists & inform & work w/other attys as appropriate. Oil & Gas Contracts: Draft joint operating agreements, joint develop agreements, agreements of mutual interests, oilfield services agreements, drilling contracts, & other typical contracts in explore & development of oil & gas assets, w/min supervision; supervises junior associate work product; communicate w/& advise clients on legal issues in contracts; manage deal teams & processes across practice areas & geographical locations. Terminal Services Contracts: draft & negotiate terminal services agreements & thru put agreements w/ min supervision; supervise junior associate work product; communicate w/& advise client on legal issues in contracts. Midstream Commercial Contracts: Draft & negotiate crude oil or gas or produced water gathering, processing, transport, marketing, or sale agreements w/min supervision; communicates w/& advises client on legal issues in contracts. JD or foreign equity + 5 years exp as Assoc (Atty) in Transactions/Energy Advisory req. 5 years exp must be as atty in energy & infrastructure transactions. Must be admitted to TX Bar.
